Terms and Conditions
	To be an authorized affiliate of Fyxx Water, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the Fyxx Water service as an affiliate. By signing up for the Fyxx Water affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Terms and Conditions This Agreement contains the terms and conditions pertaining to your participation as a Fyxx Water Affiliate. In this Agreement, "we" or "our" refers to Fyxx Water and Str8Up Beverages, LLC and "you" refers to an "Affiliate". We will hereafter use "you" and "Affiliate" interchangeably. 1. How to Enroll in the Program To begin, complete the online application via our site. We will automatically accept you into our program. However, we reserve the right to reject your application at anytime and for whatever reason we deem necessary. Possible reasons for rejection include, but are not limited to, sites we find to contain sexually explicit, violent, discriminatory, or illegal content. If your site is rejected, you may reapply at any time. Once again, we will verify that your site is in compliance with our standards. Employees and members of immediate families of employees of Fyxx Water or its subsidiaries are not eligible to participate in this affiliate program, nor be employed by or receive any compensation to assist an affiliate site outside the normal scope of employment. 2. Links on Your Site You will provide a link to our website through an approved Fyxx Water Affiliate Link as well as other Fyxx Water -approved links located on your site. Additional links are those found within the Links section of our affiliate website. You may not represent Fyxx Water or use its trademarks, logos or other branding in any manner other than providing approved links or Approved Content. Approved Content is content regarding data points on Fyxx Water. This approved content must be kept up-to-date. 3. Purchases and Tracking We will be responsible for purchases placed by customers who follow links from your site to Fyxx Water. This means we will handle all issues pertaining to purchases that are a result of a link from your site. This includes all customer service, including cancellations and refunds, once a customer makes a purchase. We will track all customer impressions, clicks, and sales through persistent cookie technology. Each Fyxx Water Affiliate Link is issued a unique identification number that is associated with your account. You are responsible to ensure your link is properly formatted and working. 4. Product Commission An Affiliate will receive a 10% commission on all orders sold to visitors who are introduced to Fyxx Water through your approved affiliate links. To generate a commission, the customer must follow the link (in approved format) from your site to Fyxx Water and make a purchase using our methods for purchasing. Affiliate sites will receive the following commissions for products purchased through Fyxx Water: • All Fyxx Water products = 10% of Gross Sales Prior to Shipping & Handling 5. Payment Schedule You will earn commission payments based on monthly sales from Fyxx Water’s online store, which were referred through your affiliate link. Accounts with a minimum of $50.00 will have payments made each month. 6. Policies and Pricing Customers who buy products through one of our affiliates are considered Fyxx Water customers. Revenue will only be shared based on qualified customers. Do not include price information in your link to Fyxx Water, as we cannot guarantee a certain price for products. 7. What kind of advertising is prohibited? Unsolicited e-mail (i.e. spam) is prohibited. Any case of unsolicited e-mail will result in immediate termination of your affiliate account, as well as forfeiture of any commissions. Spam will not be tolerated in any way. Any copy not approved by the Fyxx Water Affiliate Manager is prohibited as well. For approval, contact us at affiliate@fyxxwater.com 8. Limited License You have a nonexclusive, limited, revocable right to use our icon and other like images only for the purpose of identifying your site as an Affiliate and to generate sales. You may not modify any of our images. We reserve all rights for the icon, our trade names and trademarks. We may revoke your license at any time by giving you written notice. 9. Responsibility for Your Site You will be solely responsible for the development, operation, contents, and maintenance of your site. We take no responsibility for content or functionality of your site. 10. Relationship of Parties Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. 11. Limitation of Liability We are not liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program. 12. Disclaimers We cannot guarantee that our site will be uninterrupted or error-free, and we will not be liable for any consequences arising from any interruptions or errors. 13. Terms and Conditions The term of this Agreement will take effect upon our acceptance of your Affiliate application and will end when terminated by either party. Either party may terminate this Agreement at any time, for any reason. We may choose to terminate this Agreement if we determine your site content is inappropriate, you have breached any conditions of this Agreement, or if you are sending "spam" (mass, unsolicited e-mail messages) to customers. You are only eligible to earn commissions on purchases during the term of the Agreement. Payments earned through the date of termination will remain payable only if the orders are not canceled. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon one-week's notice, Fyxx Water may change, suspend or discontinue any aspect of this Agreement or the Service, including the availability of any Service feature, database, or other content. We also reserve the right to modify any portion of this Agreement. IF ANY PORTION OF THIS AGREEMENT OR ANY FUTURE MODIFICATIONS TO THIS AGREEMENT ARE UNACCEPTABLE TO THE AFFILIATE, OR CAUSE THE AFFILIATE TO NO LONGER BE IN COMPLIANCE WITH THE AFFILIATE AGREEMENT, THE AFFILIATE OR FYXX WATER MAY CANCEL THE AGREEMENT. AN AFFILIATE'S CONTINUED USE OF THE SERVICE CONSTITUTES A BINDING ACCEPTANCE BY THE AFFILIATE. 14. Miscellaneous This Affiliate Agreement has been made in and shall be construed and enforced in accordance with New Jersey law. Any action to enforce this agreement shall be brought in the federal or state courts located in New Jersey.
